ONTARIO UNIVERSITIES’ COUNCIL ON E-LEARNING (OUCEL)

Name

The name of the Association shall be the Ontario Universities’ Council on e-Learning

  1. Purpose:
    1. To take an active leadership role in e-Learning in Ontario;
    2. While respecting the institutional autonomy and unique characteristics of each institution, to provide a voice on broad provincial issues in e-Learning

2.3 To advise the COU on e-Learning related matters, through liaison with COED (Council of Educational Developers)

2.4 To undertake activities, such as conducting or commissioning studies, preparing reports, and sponsoring conferences;

2.5 To promote potential for interaction and collaboration within and among the universities and other sectors, including the exchange of information on e-learning policies and practices;

2.6 To initiate research and other activities to enhance e-learning effectiveness either within or among member institutions, such as conducting or commissioning studies, preparing reports, and sponsoring conferences ;

2.7 To report annually, in writing, to the Council of Ontario Universities on activities of Ontario Universities’ Council on e-Learning (OUCEL) over the past year.


3. Relationship to Council of Ontario Universities:

3.1 The Ontario Universities Council on e-Learning is not at this time affiliated with the Council of Ontario Universities.

4. Membership:

4.1 Membership shall be open to an individual that fulfills the mission of this group from each of the members and associate members of the Council of Ontario Universities. Each representative is to be nominated for a two year term, with a possibility of renewal, at the discretion of the executive head of his or her respective institution.

5. Powers:

5.1 OUCEL shall have the power to establish its own by-laws and to appoint committees for the purpose of discharging its functions.

6. Officers/Executives:

6.1 The members will elect a Chair and Vice-Chair who shall each serve a term of two years, with the Vice being elected in the second year. 6.1.1 Chair (two year term for a maximum of two terms) 6.1.2 Vice Chair (one year term) 6.1.3 Member at large (one year term) 6.1.3.1 Responsible for mounting the minutes in the group. Secretary will be appointed on a rotating basis.

The Vice-Chair will normally be automatically elected to be Chair.

7. Committees:

7.1 The OUCEL may establish committees or working groups. Meetings for such groups will be held under the auspices and jurisdiction of OUCEL. To facilitate an orderly transmission of information – each sub-committee will identify one of its members to report back to the OUCEL and to circulate minutes of all meetings to each member of the OUCEL.

8. Meetings:

8.1 At least three meetings will be held each year, one of which may be a virtual conference. Additional meetings may be held subject to events and the wishes of the OUCEL. Meetings shall be attended by one representative from each member institution. If such an officer is unable to attend a meeting, the member institution may appoint an alternative representative.

8.2 Records of meetings of OUCEL will be kept and circulated as early as possible but within three weeks of the meeting.

9. Quorum:

9.1 At a meeting of the Council, 50% plus 1 of the voting members shall constitute quorum.

10. Secretariat:

10.1 The work of the Chair will be not be facilitated with Secretariat assistance provided by the Council of Ontario Universities as OUCEL is not currently an affiliate of COU.

11. Financial:

11.1 Each institution shall be responsible for the expenses of its representative attending meetings.

12. Amendments to by- laws:

12.1 This constitution may be amended by a two-thirds majority of members of OUCEL present and voting at a meeting in the notice of which the proposed amendment is specified and at which at least two-thirds of the members are present.
